Ashley Memo Terms of Service
Summary of key points
- Ashley can miss things or get them wrong, so don't rely on it for anything critical.
- Before Ashley listens, tell the people with you and get their agreement, and follow the law where you are. Don't use Ashley to record anyone secretly or to monitor anyone.
- You must be 16 or older.
- You can stop, cancel and delete your account at any time.
1. Who we are
Ashley Memo is made by Atlas x Mind Limited, a New Zealand company (NZBN 9429051326067) ("we", "us"). Our address is 1 Sunnyview Ave, Shelly Park, Auckland 2014, New Zealand. These terms are an agreement between you and us. Our privacy policy (ashleymemo.com/privacy) explains how we handle personal information and forms part of these terms.
2. Who can use Ashley
- You must be 16 or older.
- You agree to these terms and the privacy policy in the app before Ashley starts. When either document changes in a way that matters, the app asks you to agree again.
- You need an Apple account to sign in. Keep it secure: anyone with access to it can see your Ashley data.
3. What Ashley is, and isn't
- Ashley turns your conversations into text and short cards written by an AI model. Audio can be missed, transcripts can be wrong, and the AI can misunderstand or attribute words to the wrong person. Check anything important against the original audio.
- When you ask Ashley a question, or it asks you one, the words are written by an AI. Answers can be incomplete or wrong, so check anything important against the original conversation and your own judgment.
- Ashley doesn't give medical, mental health, legal, financial or other professional advice, and nothing it says is that kind of advice.
- Don't use Ashley as your only record for anything legal, medical, financial or safety-related.
- We welcome your feedback. If you send ideas, we can use them to improve Ashley without owing you anything for them.
4. Personal information of people around you (important)
While Ashley is listening, it hears everyone near you.
- Before Ashley starts listening, tell the people with you and get their agreement. The rules differ by country, state and situation. Many places, including several Australian states and California, require everyone's consent, and workplaces, schools and homes with children can add their own rules. You're responsible for following the law where you are.
- Use Ashley only for conversations you're part of. Don't leave it listening to people when you're not there.
- If someone asks you to delete a conversation they were in, please do. Our page for the people around you (ashleymemo.com/around-you) is there to share.
5. What you must not do
- Record anyone secretly, or in breach of any law on recording, interception, surveillance or privacy.
- Use Ashley to monitor or track another person, including employees, without a lawful basis and their knowledge.
- Use Ashley where recording is prohibited.
- Try to get into other people's accounts, overload our servers, or take the app apart to get around its limits.
6. The beta
- The beta is free, by invitation, and has no listening limit. We may change features or end the beta, with notice where we can give it.
- Beta testers get 3 months of the Unlimited plan free once paid plans begin. Beta data carries over to the public version unless you delete your account.
- The beta notes (ashleymemo.com/beta) say more about what to expect.
7. Plans, payment, cancellation and refunds
- Every account gets 20 free hours, once. Free hours never expire. After that you can choose a monthly plan. The pricing page shows current prices and how hours are counted: only time when someone is talking counts.
- Subscriptions renew every month until you cancel.
- Subscribing in the app: Apple handles billing, cancellation and refunds under the App Store's rules.
- Subscribing on our website: this is open in New Zealand, Australia, the United States and Canada; elsewhere, please subscribe in the app. Stripe handles the payment. You can cancel at any time from the subscribe page (ashleymemo.com/subscribe). When you cancel, your plan stays on until the end of the month you've paid for, and we don't refund the rest of that month, except where the law requires us to.
- If your hours run out, Ashley keeps listening and stores the audio without processing it. If you don't subscribe or upgrade within 30 days, that audio is deleted.
- If we change a price, we'll tell you before it applies to you, and you can cancel before then.
- A question about a charge? Email [email protected].
8. Your account and your content
- You own your audio, transcripts and cards. You let us store and process them only to run Ashley for you, as the privacy policy describes.
- You can export your data from the app at any time.
9. Suspension and termination
- By you: you can stop using Ashley and delete your account at any time, from your account settings in the app or by emailing [email protected]. Deleting your account doesn't cancel a subscription by itself, so cancel it first: in your iPhone's settings if you subscribed in the app, or with Manage subscription on the subscribe page if you subscribed on our website.
- By us: we may suspend or close an account that seriously or repeatedly breaks these terms, or where the law requires it. We'll tell you first and give you a chance to fix the problem, unless the breach is serious, the law prevents it, or notice would put others at risk.
- Your data afterwards: while an account is suspended, your data is kept and you can still export it and cancel a website subscription. When an account is closed, by you or by us, your data is deleted as described in section 8 of the privacy policy.
- If we ever shut Ashley down, we'll give you notice first, so you can export your data from the app.
10. Liability
- Ashley is provided as is, without warranties beyond those the law requires.
- As far as the law allows, we aren't liable for indirect or consequential losses, or for losses caused by missed or incorrect audio, transcripts, cards or answers.
- Where the law allows us to limit our liability, it is limited to the greater of what you paid us in the 12 months before the claim and NZ$100.
- Consumer law. Nothing in these terms takes away rights you have under the New Zealand Consumer Guarantees Act 1993, the Australian Consumer Law, or other law that can't be excluded. If you're in trade and use Ashley for the purposes of a business, the Consumer Guarantees Act does not apply, as section 43 of that Act allows.
11. Apple
If you got Ashley from the App Store:
- These terms are between you and us, not Apple. We, not Apple, are responsible for Ashley and its content.
- Apple has no obligation to provide maintenance or support for Ashley.
- If Ashley fails to meet a warranty that applies, you can tell Apple, and Apple will refund the purchase price, if any. To the extent the law allows, Apple has no other warranty obligation for Ashley.
- We, not Apple, are responsible for any claims relating to Ashley, including product liability claims, claims that it fails to meet legal or regulatory requirements, and consumer protection or privacy claims.
- If anyone claims that Ashley infringes their intellectual property, we, not Apple, are responsible for dealing with that claim.
- You confirm that you're not in a country subject to a United States government embargo, and not on a United States government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these terms and can enforce them against you.
12. Changes to these terms
We'll tell you in the app or by email before we change these terms in a way that matters, and the app will ask you to agree to the new version.
13. Law and courts
New Zealand law applies to these terms, and the courts of New Zealand can hear any dispute about them. This doesn't take away consumer protections that apply where you live and can't be excluded.
14. General
- If a court finds part of these terms unenforceable, the rest still applies.
- These terms, together with the privacy policy, are the whole agreement between you and us about Ashley.
- We're not responsible for delays or failures caused by events beyond our reasonable control.
